  1. Our Privacy Principles
    • At TILC, we adhere to the following principles to protect your privacy: We use the information you provide to administer your account with us and customize our Service for you and to send you service and promotional communications through email and notices on our Website. We will not rent or sell non-aggregated information to third parties for marketing purposes.
    • We do not spam or support the activities of spammers. Any personal information that you provide to us will be secured in such manner as we deemed reasonably appropriate. If you suspect a spammer is operating on TILC, we encourage you to bring it to our attention by sending us an email at privacymatters@tilcllc.com.
    • If we materially change this Policy or how we use your personal information, we will post notice of such materially significant changes to this Policy on our Website. If you continue to use the Website or our Service after notice of changes has been sent to you or published on our Website, we will assume that you have agreed with our changes.
  2. Information we collect and use of the collected Information
    At TILC, we may collect the following types of information:
    • Information you provide - When you register on our Website, we ask you for personal information. We use this personal information to process your registration for Structured Classes or Mentoring Services; provide you our available online courses and programs; understand and meet your educational needs and preferences; contact you with information about your registration or our educational programs; and personalize our programs to you and others based on personal characteristics and preferences. We may also use your data to provide you information about other programs we think might be of interest to you. You acknowledge that particular information you provide to us may reveal, or allow others to identify, your ethnicity, nationality, religion or other parts of your private life. The supplying of all such information by you to TILC, including all information deemed "sensitive" by applicable law, is entirely voluntary on your part. You have a right to access, modify, correct and delete the information about you which has been collected on our Website. If you update any of your information, we may keep a copy of the information which you originally provided to us in our archives for uses permitted under this Policy.
    • Cookies - When you visit our Website, we send one or more cookies - a small file containing a string of characters - to your computer or other device that uniquely identifies your browser. We use cookies to recognize you, customize your experience and serve advertisements. To the extent we allow any third party advertising on our Website, we may allow such third party advertisers who are presenting advertisements on some of our Website pages to set and access their cookies on your computer. Doing this permits the third party advertisers to recognize your computer each time they send you an advertisement and to deliver targeted advertisements that they believe will be of most interest to you. We do not have access to or control of the cookies that may be placed by the third party advertisers. This privacy statement covers the use of cookies by TILC and does not cover the use of cookies by any of its advertisers.
    • Log information - When you access our Services, our servers automatically record information that your browser sends whenever you visit a website. These server logs may include information such as your web request, Internet Protocol address, browser type, browser language, the date and time of your request and one or more cookies that may uniquely identify your browser.
    • User communications - When you send email or other communications to us through the TILC email system or otherwise, or to another user of our Service through the TILC email system, we may retain those communications in order to better understand the needs of our users, to process your inquiries, respond to your requests and improve our Website or Service.
    • Links - Our Website may contain links to other websites. TILC is not responsible for the privacy policies and/or practices on other websites. We encourage our users to be aware when they leave our site and to read the privacy statements of each and every web site that collects personal information. Our Policy only governs information collected on our Website.
    • Blogs, Chatrooms, Message Boards and Public Forums - Whenever you voluntarily post public information to our Blogs, Message Boards or any other Public Forums, that information can be accessed by the public and can in turn be used by those people to send you unsolicited communications.
  3. Sharing of Personal Information

    Teachers and Mentors may use student email addresses for communication with students regarding the course and may store personal information generated by the course site tools for the purpose of maintaining educational records or other legitimate educational purposes.

    In addition, TILC may collaborate with your school(s) or school district(s) in connection with your participation in our Website and Services and as a result, we may share with your school, school district, your parents and legal guardians, the personal information that you provide to us through your participation in our Services, which may include the content of the Structured Classes or Mentoring Services sessions and any information you provide before or after such Structured Classes and Mentoring Services sessions. In addition, your school may require us to share your information with others legally entitled to access your academic records, such as your state department of education.

  4. Minors

    Anyone under the age of 18 ("Minors") are not eligible to use our Services without the involvement of a parent, a legal guardian or an adult authorized to act on the Minor's behalf and we ask that Minors do not submit any personal information to us or use the Services unless with the consent of a parent, a legal guardian or an adult authorized to act on the Minors' behalf.

    We encourage parents, guardians and teachers to spend time with their Minors when their Minors engage in the on-line activities on this Site. We do not require a Minor to disclose more personal information than is reasonably necessary to participate in the activities on our Website. We encourage parents to help us protect their Minor's privacy by instructing them never to provide personal information on this Website or any other website without parental permission. Please note that any purchase of Structured Classes or Mentoring Services from the Website is intended for parents, teachers and other adult purchasers over the age of 18 and requires the submission of personal information to fulfill and service any transactions.

    In addition, in accordance with the Children's Online Privacy Protection Act, we do not knowingly collect personal information from any children under the age of 13 ("Child") except when a Child may voluntarily submit such information through a "Contact Us" link on the Website or a public posting area on the Website, if such feature is available. If a Child e-mails us via a "Contact Us" link and we can identify the sender as a Child, any personal information submitted will only be used to respond on a one-time basis to such Minor. In addition, if we have actual knowledge that a Child is sending or posting personal information on any area of this Website, we will use commercially reasonable efforts to delete such personal information before it is made public.

    We may disclose a Minor's personal information if we have reason to believe that disclosing this information is necessary to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) our rights or property, other users, or anyone else that could be harmed by such activities. We may also disclose a Minor's personal information when we believe in good faith that the law requires it.

  5. International Users

    Regardless of where you reside, by using our Website, you agree that we may collect, use, and transfer your information as described in this Policy.

  6. Security of information

    You are responsible for the security of your usernames and passwords. Make sure you keep them in a safe place and do not share them with others and always remember to log out after your session ends to ensure that others cannot access your private personal information.

    We have implemented security measures in place (which may include safeguards such as firewalls and data encryption) to help protect against the loss, misuse, and alteration of the collected personal information under our control. Unfortunately, no data transmission over the Internet can be guaranteed to be 100% secure. Therefore, even as we strive to protect your personal information, we cannot ensure or warrant the security of any information you transmit to us through or in connection with our Website.

The Interactive Learning Channel Terms of Use

Welcome to The Interactive Learning Channel (“we”, “us”, “our” or “TILC”). TILC is a virtual hub which connects students (“Students”) with teachers (“Teachers”) who provide live instruction in our proprietary online structured classroom environment, and with mentors (“Mentors”) who provide live, one-on-one mentoring and academic support services for such students (collectively, hereinafter referred to as “the Services”). We intend to collaborate, as we may deem appropriate, with schools and/or school districts within the United States in to help their students, through the use of the Services, to improve their knowledge and understanding in academic subjects covered within their school curriculum.

By using the TILC website (the “Website”), you agree to be bound by these Terms of Use (the “Terms”), whether or not you register as a member of the Website, purchase or use the Services, or sign up as a Teacher or Mentor. Please read the Terms carefully and in full. By using or accessing the Website or Services, you accept and agree to these Terms in full. In addition, when using any of the Services, you agree to abide by any applicable posted guidelines for the Services, which may change from time to time. If you object to anything in these Terms, any guidelines, the TILC Privacy Policy or any subsequent modifications thereto, do not use the Website or the Services. If you become dissatisfied with our Website or Services in any way, your only recourse is to immediately discontinue use of the Website and Services (unless you qualify for a partial refund of fees you have paid to us for Services purchased hereunder as further set forth in Section 1.7 below)

In addition to these Terms, you further acknowledge that you will fully comply with all applicable end user license terms imposed by our third party suppliers and/or licensors (“Third Party Licensors”) of any software or technology (“Third Party Software”) underlying the Services or utilized on the Website, including without limitation, the Vyew Software End User License Terms which is located at the following web address: http://vyew.com/policies

We reserve the right to change and update the Terms at any time at our sole discretion, effective upon posting on the Website, and your use of the Website or Services after such posting will constitute acceptance by you of such changes. We suggest that you consult these Terms regularly for updates. We further reserve the right to deny or restrict access to the Website or to change, suspend or discontinue any aspect of the Services at any time, including the availability of any Services feature, database or content, without notice or liability. Unless explicitly stated otherwise, any new features that augment or enhance the current Website or Services shall be subject to these Terms. Failure to comply with these Terms (including any applicable End User License Terms) may result in immediate removal from our Website, with or without notification. The term “you” or “user” as used herein shall mean any person (i) visiting, accessing or using our Website in any manner, (ii) purchasing any of our Services, whether for your own behalf or for a Student if you are a parent, legal guardian or an adult authorized to act on behalf of a Student, (iii) using any of our Services, or (iv) signing up to be a Teacher or Mentor, as applicable.

1. Our Services.

1.1 Description of Services

Our Website offers Students the opportunity to attend structured online classes on a variety of subjects taught by Teachers who have been certified as further described below (“Structured Classes”). If a Student desires to supplement these classes with additional one-on-one mentoring services or if a Student is only looking for help with specific questions on a particular academic subject, our Website also provides Students with the opportunity to connect with Mentors who can provide such additional mentoring services or focused help (“Mentoring Services”).

1.2 Registration

You may view the available class schedule(s) for the Structured Classes or the applicable Mentors’ availability schedule(s) without first registering on the Website. However, registration on the Website and prior payment is required before signing up for, and/or attending, any Structured Classes or obtaining any Mentoring Services.

When you first register on the Website, you will obtain an account and password. You must maintain the confidentiality of your password and notify us immediately of any unauthorized use of that password. You are solely responsible for your account and for any losses or damages as a result of your use of the account and/or password. You agree to provide true, accurate and complete information as prompted by the registration form, and update such information to maintain its truth, accuracy and completeness. You will also be required to provide your credit card and/or paypal information in order to register on the Website and to sign up for the Services.

You must be (a) 18 years old or over to register to use this Website, to purchase any Services or to sign up as a Teacher, and (b) at least 16 years old to be a Mentor. By using this Website or the Services, you represent and warrant that you have the right, authority, and capacity to abide by all of these Terms, that you are at least 18 years old (or have the involvement of a parent or legal guardian to use this Website and the Services as further described below), and that you are not prohibited by law from using the Website or Services.

If you are under 18 years old (hereinafter referred to as a “Minor”), you may use the Website or Services (including, without limitation, as a Student signing up as a Mentor) only with the involvement of a parent, a legal guardian or an adult authorized to act on your behalf. If you are a parent, legal guardian or an adult authorized to act on behalf of a Minor, and you (i) register on the Website and/or purchase any Services on behalf of a Minor, (ii) you authorize a Minor to attend a Structured Class or to receive Mentoring Service that you have signed up for, or (iii) you authorize a Minor to act as a Mentor on the Website, you will be fully responsible for the Minor’s access and use of your account, the conduct of the Minor in the use of the Website and Services and the Minor’s safety and conduct while acting as a Mentor. You will ensure that the Minor does not misuse your account, the Website or the Services and that the Minor will be in strict compliance with the Terms stated herein. If you authorize a Minor to use your account(s), you agree that we have the rights to provide access to your account(s) and all information (except credit card or paypal information) contained in such account(s) to the Minor’s parents, guardians or other authorized adults (including without limitation, the Minor’s school representatives) as we may deem appropriate or necessary. You should note that to the extent that any individual who is authorized by you OR for whom you are responsible causes loss or damage to any person as a result of accessing or using the Website or Services, you agree to indemnify us in full against all such claims made against us. Notwithstanding anything contained in these Terms or elsewhere, no Minors under 16 years old will be permitted to act as a Mentor on the Website and in no event will you, as a parent, legal guardian or other authorized adult of a Minor under 16 years old, authorize such Minor under 16 years old to sign up, or act, as a Mentor through your account.

Except for the foregoing limited exception, you may not create multiple accounts, or create accounts for those other than yourself and not to use the account, username or password of another user at any time. Please be aware that if you authorize anyone else to use your account(s), you will be fully liable for losses incurred by us or another party due to the other person’s use of your account(s), username(s) or password(s).

1.3 Structured Classes

When you sign up and pay to attend Structured Classes for an academic subject and grade available on the Website, you will be entitled to attend the Structured Classes for such academic subject and grade for the duration of the applicable school semester (which is generally 3 months and may be dependent on your school curriculum) (each a “Semester”). Each Structured Class will be conducted once a week by a Teacher in accordance with the applicable schedule listed on the Website and will last approximately 60 minutes each. We reserve the rights, at our sole discretion and without any liability to you or any third parties, to modify any aspects of the Structured Classes, including without limitation, the duration of each Structured Class or each Semester.

When you sign up and pay to attend Structured Classes for an academic subject and grade available on the Website, you will also be entitled to obtain, without any additional charge, 10 hours of Mentoring Services per calendar month (“Free Mentoring Hours”) for the duration of the Semester applicable to the purchased Structured Classes. For example, if you sign up and pay to attend Structured Classes for a math subject in the 12th grade level and for a Spanish language subject in the 12th grade, you will receive a total of 20 Free Mentoring Hours per calendar month for the duration of the Semesters applicable to the purchased Structured Classes. You will not be entitled to receive any refunds or credits for any Free Mentoring Hours not utilized each month, and no unused Free Mentoring Hours in a month may be carried or rolled over to the following month(s).

1.4 Mentoring Services

When you pay for Mentoring Services, you will be entitled to receive up to 5 hours a month of Mentoring Services. If you used all your allocated 5 hours of Mentoring Services before the end of a month, you may purchase additional Mentoring Services in 5-hour increments for the remainder of such month. No unused Mentoring Hours in a month may be carried or rolled over to the following month(s).

Mentoring Services will typically be provided by other Students or Teachers who have signed up to be Mentors on the Website. The Website will provide a schedule showing the availability of the Mentors and the grade levels of Students for which the available Mentors will provide Mentoring Services. Such schedule may be in a daily, weekly or monthly format as deemed appropriate by TILC. If you have paid for Mentoring Services, you may review the Mentors’ availability schedule and request help from a Mentor by logging into the “Mentoring Services” section of the Website during such Mentor’s posted available time slots. If a Mentor becomes unavailable for any reason during the Mentor’s posted available time slot, we may substitute such unavailable Mentor with another Mentor (which may be a Teacher or another student Mentor) to fill such posted time slot left open by the unavailable Mentor. A Mentoring Service session may involve a specific question or problem posed by a Student pertaining to an academic subject and a Mentor, as the Mentor may deem appropriate, providing explanations to or knowledge about the academic subject with the requesting Student.

1.5 Teachers and Mentors

Before you register to be a Teacher on the Website, you must submit to a verification process (“Verification”) in order to obtain a TILC Certification™. Our Verification may include requesting recommendations from your school about you and your teaching qualifications if you are currently a teacher or have been a teacher at such school, or having a third party service verify your educational and/or other qualifications. We may also require each Teacher to have a minimum of three hours of training on the use of the collaboration software. We reserve the rights to change, at our sole discretion, our verification process or requirements at anytime without notice or liability. We will not be liable for any Verification provided to us by third parties, including, without limitation, any information provided to us by your school or any other third parties, and we do not endorse any such third parties. We also do not represent or warrant that the information obtained from our Verification process will be accurate, complete, reliable or current. Once you have successfully completed our Verification process, you will be entitled to receive a TILC Certification™ and an associated certification number which you will use to register as a Teacher on our Website.

Mentors are not required to submit to our Verification or to obtain a TILC Certification™ in order to become a Mentor on our Website. No Student may register to provide Mentoring Services to any other Students who are in the same or higher grade than such Student acting as a Mentor. We do not confirm or verify if a Mentor claiming to be qualified to provide mentoring advice is in fact qualified to provide the advice being requested.

We reserve the right, at our sole discretion and without liability or notice, to remove a Teacher or Mentor from use of our Website or in connection with our Services for any reason or no reason.

In order to be a Teacher or a Mentor, you will also be required to accept, and to fully comply with, all additional terms and conditions which we may impose on all Teachers and Mentors generally, and such additional terms and conditions will be provided to you separately from these Terms when you sign up to be a Teacher or Mentor.

1.6 Hours of Services

Currently, the Services will be available only from 4 p.m. to 9 p.m. Central Time, Mondays through Fridays and from 11 p.m. to 5 p.m. Central Time on Saturdays. No Services will be available on Sundays, Christmas eve, Christmas day, New Year’s eve and New Year’s day. We reserve the right to change the availability of the Services on such days and at such times in our sole discretion without notice. Notwithstanding the foregoing stated hours, you may not always be able to attend a Structured Class on an academic subject that you desire or obtain Mentoring Services when needed due to the unavailability of Teachers or Mentors for their subject at the specific time, problems with the Software or Website, or during a scheduled maintenance of the Website. We will endeavor to schedule any regular maintenance of the Website outside of Structured Class hours.

1.7 Fees and Payment terms

To sign up to attend any Structured Classes for an available academic subject by grade, a monthly fee of US$85 for each Structured Class you have selected for the duration of the applicable Semester will apply (“Class Fees”). You will be required to pay the total Class Fees for the entire applicable Semester in advance of each such Semester. If for any reason you are dissatisfied with your experience in a Structured Class that you have purchased (“Affected Structured Class”), you will have the right to receive a refund of 80% of the Class Fees that you have paid for such Affected Structured Class, provided that you notify us of your dissatisfaction within 5 business days after your first attendance in the Affected Structured Class by contacting our customer service department at custserv@tilcllc.com and providing the reasons for such dissatisfaction so we may improve our Services. Any refunds will be credited directly to the Paypal account (or your credit cards, when applicable) that you have utilized to purchase the Affected Structured Class. You will not be entitled to a refund if you experience any dissatisfaction during your attendance in any Affected Structured Class other than your first attendance of the Affected Structured Class. You will also not be entitled to any refunds if you fail to attend the Structured Classes that you have purchased or if you have only partially attended any Structured Classes that you have purchased. If you purchased to attend a Structured Class on an academic subject within a particular grade level, you may not substitute such unused Structured Class for attendance in a Structured Class for a different academic subject or for a different grade level. We reserve the right to change our refund policy at any time with or without notice as we may deem appropriate.

To have access to any Mentoring Services, you will be required to pay a monthly fee of US$65 for 5 hours of Mentoring Services (“Mentoring Fees”). Currently, there are no options to purchase less than 5 hours of Mentoring Services per month (except for the incremental Mentoring Services for the remainder of a month as described below after you have used up all 5 hours of Mentoring Services in a month). We will automatically track your time spent with a Mentor during a Mentoring Services session. If you have utilized all your allocated 15 hours of Mentoring Services in a month or your Free Mentoring Hours in a month, you may purchase additional Mentoring Services in 5-hour increments for the remainder of such month by paying an additional monthly fee of $65 per month for each such 5 hour increments of Mentoring Services (“Incremental Mentoring Fees”).

Our Website currently accepts payments for purchase of Services only through Paypal account(s). When you purchase any Services, you will be directed to the Paypal website. The Paypal website will offer you the choice of logging into an existing Paypal account (if you already have one) or entering your credit card details directly. Once payment has been completed, you will be directed back to our Website so you can continue browsing. We expect to add other payment methods in the near future such as payment via credit cards and debit cards. By registering to use our Services, you have expressly agreed to permit us to bill you the Class Fees, the Mentoring Fees and the Incremental Mentoring Fees as described above, as applicable, through a charge against your paypal account(s) you have provided to us when you register for our Services (or through a charge against your credit cards or debit cards when those are made available as payment methods on our Website).

We reserve the right to change any of our fees for access to our Website or use of our Services or any existing or new features on our Website or Services in the future at our sole discretion. We will notify you of any changes to our payment policy or new services. We may, in our sole discretion, add, remove or change the features and services we offer or the fees (including the amount or the type of fees) we charge at any time. If we introduce a new service, we will establish and notify you of the fees for that Service at the launch of the service. If we notify you of new fees or change the fees for an existing service, you agree to pay all fees and charges specified and all applicable taxes for your continued use of the applicable service. We are not responsible for any costs you incur as a result of your involvement with the Website or Service.

TILC does not provide telephone or other telecommunication service, Internet access, webcams, computers and other equipment, hardware or peripherals and you are solely responsible for all costs and charges associated with such items.

2.0 Third Party Links and Advertisements

2.1 Our Website may, from time to time, contain links to other third party websites or resources or third party advertisements and your access and use of those third party websites, resources, products or services will be governed by the terms and policies imposed by such third parties. You acknowledge and agree that TILC is not responsible or liable for: (i) the availability or accuracy of such third party websites, resources or advertisements; or (ii) the content, advertising, services or products on or available from such third party websites or resources. The inclusion of any link on our Website does not imply that we endorse the linked site. Furthermore, the inclusion of any third party advertisements on our Website does not imply that we endorse such third party or its products, services, offers, opinions or claims. You use the links, any third party’s websites, resources, products and services at your own risk.

3.0 Forums, Blogs and Chat Rooms; Feedback

3.1 Our Website may, from time to time, include various forums, blogs and chat rooms where you can post your observations and comments on designated topics. We cannot guarantee that other users will not use the ideas and information that you share. Therefore, if you have an idea or information that you would like to keep confidential and/or don’t want others to use, do not post it on the Website. TILC AND ITS AFFILIATES ARE NOT RESPONSIBLE FOR A USER’S MISUSE OR MISAPPROPRIATION OF ANY CONTENT OR INFORMATION YOU POST IN ANY FORUMS, BLOGS AND CHAT ROOMS.

3.2 Our Website may, from time to time, include areas for reviews, feedback or comments (together, “Feedback”) about the Services provided by a Teacher or Mentor. The purpose of such Feedback section(s) on our Website is to encourage open and honest communication between the users and should not be abused. You should use caution and good judgment when leaving feedback or comments for another user of our Website. You are not permitted to: (a) include links, profanity or other inappropriate or unrelated content within the Feedback section(s); (b) post any defamatory, derogatory or offensive comments of a Teacher, Mentor or another user or of anyone else; or (c) use the Feedback section (s) to extort services, payment or otherwise from a Teacher, Mentor or another user or from anyone else. Any abuse by you of the Feedback section(s) can result in your immediate removal from our Website, with or without notification.

4. Acceptable Use Policy

4.1 In your use of our Website and Services, you must act responsibly and exercise good judgment. By way of example and not limitation, you agree you will:

  • not discuss any matters with Teachers or Mentors other than those directly related to the academic subject for which you have purchased the Structured Classes or Mentoring Services and will treat all Teachers and Mentors with respect;
  • be solely responsible for all of your information that you upload, post, email, transmit or otherwise make available via our Website or Services and for your interactions with other users (including, without limitation, any Teachers or Mentors);
  • be solely responsible for any damage to your computer system or any loss of data that may result from the download of information, materials or data from our Website;
  • not disclose any information to any other users of the Website (including, without limitation, to any Teachers or Mentors) that could be considered personally identifiable information, including your full name, address, telephone number, email address, social security number, password or any other information that could be used to identify or locate you, and in the event you share such personal information, you do so at your own risk;
  • use our Website and Services in a manner consistent with any and all applicable local, state, national and international laws and regulations;
  • not impersonate any person or entity, or falsify or otherwise misrepresent yourself or your affiliation with any person or entity;
  • not bully, intimidate, harass, stalk, or otherwise harm any other user in any way, including during any Structured Classes or while accessing any Mentoring Services;
  • not use our Website or Services to collect, use, post or distribute information about any other person or entity, including without limitation, information about other users without their explicit prior consent;
  • not use information obtained through our Website or Services for any unauthorized purpose;
  • not infringe the rights of any third party, including without limitation, intellectual property, privacy, publicity or contractual rights;
  • not interfere with or damage our Website or Services including, without limitation, through the use of viruses, cancel bots, Trojan horses, harmful code, flood pings, denial-of-Services attacks, packet or IP spoofing, forged routing or electronic mail address information or similar methods or technology;
  • not use our Website or Services in connection with the distribution of spam (which we define as unsolicited bulk e-mail or any other e-mail of a commercial, religious or political or other nature not within the intended purposes of the Services);
  • not engage in any criminal or tortuous activity through the Website or Services;
  • not contact anyone who has asked not to be contacted;
  • not use our Website or Services for any commercial purpose whatsoever;
  • not, if you are a Teacher or Mentor, suggest, arrange or conduct any offline meetings with any Students, and if a Student has requested such an offline meeting, you will immediately report any such violation to us at reportabuse@tilcllc.com;
  • not, if you are a Student, suggest, arrange or conduct any offline meetings with any Teachers or Mentor, and if a Teacher or Mentor has requested such an offline meeting, you will immediately report any such violation to us at reportabuse@tilcllc.com; or
  • not assist any third party in doing any of the foregoing.

  • solicits passwords or personal identifying information for commercial or unlawful purposes from other users.

4.3 We have no obligation to post any content from you or anyone else. In addition, we may remove or delete any content that you post or submit for any reason, including without limitation, if we determine that your content, in our sole judgment, violates these Terms or is offensive, illegal or violate the rights, harm or threaten the safety of any person. Despite the prohibitions against posting inaccurate or inappropriate information, information provided by other users of the Website may contain inaccurate, inappropriate, offensive or sexually explicit material and our Website assumes no responsibility or liability for this material. We do not have any obligation to monitor the Website or the Services for inappropriate content or conduct. 5. Proprietary Rights

5.1 You acknowledge that TILC owns all right, title and interest in and to the Website and the Services, including all intellectual property rights (the "TILC Rights") and that Third Party Licensors owns all right, title and interest in and to their respective Third Party Software (the “Third Party Rights”). TILC Rights and Third Party Rights are protected by U.S. and international intellectual property laws. Accordingly, you agree that you will not copy, reproduce, alter, modify, or create derivative works from, the Website, Services or any Third Party Software. You agree that you will not use any robot, spider, other automated device, or manual process to monitor or copy any content from the Website or Services. You also agree not to decompile, disassemble, reverse engineer, reverse assemble or otherwise attempt to discover any source code of the Third Party Software or any of our content, the Website or the Services.

5.2 We do not claim any ownership rights in the text, files, images, photos, video, sounds, musical works, works of authorship, or any other materials (collectively, “Your Content”) that you post to, or transmit through, our Website. 5.3 The name “The Interactive Learning Channel”, “TILC” and our other graphics, logos, designs, page headers, button icons, scripts, and services names are trademarks or trade dress of TILC in the U.S. and/or other countries. TILC's trademarks and trade dress may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or services in any manner that is likely to cause confusion.

6. Privacy.

6.1 Your privacy is very important to us and we understand concerns you might have about your personal information online. We want to provide a safe, secure user experience. The personal information you provide to us during registration is used for TILC’s internal purposes only. We use the information it collects to learn what you like and to improve the Website and Services. 7. Termination

7.1 These Terms shall remain in full force and effect while you use our Website or Service. You agree that TILC, in its sole discretion, has the right (but not the obligation) to delete or deactivate your account, block your email or IP address, or otherwise terminate your access to or use of the Website or Services (or any part thereof), immediately and without notice, and remove and discard any of Your Content within the Website or Service, for any reason, including, without limitation, if we believe that you have acted inconsistently with the letter or spirit of these Terms. Further, you agree that TILC will not be liable to you or any third-party for any termination of your access to the Website or Services. Further, you agree not to attempt to use the Website or Services after such termination.

7.2 Sections 1.2, 1.7 and 2 through 13 shall survive termination of these Terms.

9.2 WE SHALL NOT BE LIABLE FOR ANY FAILURE OR DELAY IN PERFORMING UNDER THESE TERMS, WHETHER OR NOT SUCH FAILURE OR DELAY IS DUE TO CAUSES BEYOND OUR REASONABLE CONTROL. IN NO EVENT WILL OUR AGGREGATE LIABILITY TO YOU OR ANY THIRD PARTY IN ANY MATTER ARISING FROM OR RELATING TO OUR WEBSITE OR SERVICES OR THESE TERMS EXCEED THE SUM OF ONE HUNDRED US DOLLARS ($100).

9.4 You agree that you will be solely responsible for any damage to your computer system or loss of data that results from the download of material or data from the Website.

10. Indemnification.

10.1 You agree that you bear all risk in using our Website or Services and to indemnify, defend and hold harmless TILC, and its affiliates, members, officers, directors, agents, partners, employees, licensors, representatives and third party providers (including our affiliates' respective members, officers, directors, agents, partners, employees, licensors, representatives, and third party providers), from and against all losses, expenses, damages, costs, claims and demands, including attorney's fees and related costs and expenses arising out of or in any way connected with (i) your use of our Website or Services, (ii) use of the Website or Services by a Minor for whom you are responsible or whom you have authorized to use your account, (iii) Your Content which you have submitted, posted or uploaded to or transmitted through our Website, (iv) your connection to our Website, (v) your violation or the violation by a Minor for whom you are responsible or whom you have authorized to use your account, of these Terms, and/or (vi) your violation or the violation by a Minor for whom you are responsible or whom you have authorized to use your account, of any law or the rights of another. You further waive any and all rights and benefits otherwise conferred by any statutory or non-statutory law of any jurisdiction that would purport to limit the scope of a release or waiver. We reserve the right to assume the defense and control of any matter subject to indemnification by you, in which event you will cooperate with TILC in asserting any available defenses.

11. Copyright Infringement.

11.1 TILC respects the intellectual property of others. It is our policy to respond expeditiously to claims of copyright and other intellectual property infringement. We will promptly process and investigate notices of alleged infringement and will take appropriate actions under the Digital Millennium Copyright Act ("DMCA") and other applicable intellectual property laws. Upon receipt of notices complying or substantially complying with the DMCA, we may act expeditiously to remove or disable access to any material claimed to be infringing or claimed to be the subject of infringing activity and may act expeditiously to remove or disable access to any reference or link to material or activity that is claimed to be infringing. We may terminate access for users who are repeat infringers. To provide TILC a notice of an infringement, you must provide a written communication to the attention of "TILC - DMCA Infringement Notification Dept." at reportabuse@tilcllc.com that sets forth the information specified by the DMCA, specifically including the following: (a) the signature (electronic or physical) of a person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed; (b) identification of the copyrighted work claimed to have been infringed; (c)a description of where the material in question is located on the Website; (d) your mailing address, telephone number, and email address; (e) a statement by you that you believe in good faith that the disputed use is not authorized by the copyright owner, its agent, or the law; and (f)a statement by you, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. Please also note that you may be liable for damages (including costs and attorneys' fees) if you materially misrepresent that an activity is infringing your copyright. 12. Governing Law; Jurisdiction; Dispute Resolution.

12.1 These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict-of-law principles.

12.2 By using this Website, you agree that the exclusive forum for the bringing of any claims or causes of action arising out of or relating to your use of our Website or your provision of teaching or mentoring services on our Website is the appropriate United States District Court for the Northern District of Illinois, or if such court lacks subject matter jurisdiction, the Circuit Court of Cook County, Illinois. You hereby accept and submit to the jurisdiction of such court in any such proceeding or action, and irrevocably waive, to the fullest extent permitted by law, any objection which you may now or hereafter have to the laying of the venue of any such action or proceeding brought in such a court and any claim that any such action or proceeding brought in such a court has been brought in an inconvenient forum. Notwithstanding the foregoing sentence, (but without limiting TILC's right to seek injunctive or other equitable relief in any court of competent jurisdiction), any disputes arising with respect to these Terms shall be referred to an arbitrator affiliated with JAMS, The Resolution Experts. The arbitrator shall be selected by joint agreement of the parties. In the event the parties cannot agree on an arbitrator within thirty (30) days of the initiating party providing the other party with written notice that it plans to seek arbitration, the parties shall each select an arbitrator affiliated with JAMS, which arbitrators shall jointly select a third such arbitrator to resolve the dispute. The written decision of the arbitrator shall be final and binding on the parties. The arbitration proceeding shall be carried on and heard in using the English language and pursuant to the rules of JAMS. In any action or proceeding to enforce rights under these Terms, the prevailing party will be entitled to recover costs and attorneys' fees.

13. Miscellaneous.

13.1 These Terms contain the entire agreement, and supersede all prior and contemporaneous understandings, between the parties regarding their subject matter.

13.2 Our failure or delay in exercising any right, power or privilege under these Terms shall operate as a waiver thereof.

13.3 The invalidity or unenforceability of any of these Terms shall not affect the validity or enforceability of any other of these Terms, all of which shall remain in full force and effect.

13.4 You may not assign or delegate any rights or obligations under these Terms and any purported assignment and delegation shall be ineffective. We may freely assign or delegate all rights and obligations under these Terms, fully or partially. We may also substitute, by way of unilateral novation, effective upon notice to you, TILC for any third party that assumes our rights and obligations under these Terms. These Terms does not confer any third party beneficiary rights.
